Terms of Service
The agreement between you and BrioSync when you use the platform. Plain language, no hidden surprises.
1. Acceptance
By creating an account or using BrioSync, you agree to these terms. If you're agreeing on behalf of a company, you represent that you have the authority to bind that company. If you don't agree to these terms, don't use the service.
2. What BrioSync provides
BrioSync is a cloud-hosted services-team workspace covering project delivery, service desk, time tracking, and margin reporting. We provide the software and hosting; you provide your team members and the work you do with it.
3. Your account
- You must provide accurate registration information
- You are responsible for keeping your password secret and for activity under your account
- You must notify us promptly of any unauthorised access
- You must be at least 16 years old to register
4. Acceptable use
You agree not to:
- Use BrioSync for any unlawful purpose
- Attempt to access another company's data
- Reverse-engineer, decompile, or attempt to discover the underlying source code
- Resell BrioSync access without our written permission
- Upload malware, spam, or illegal content
- Use the service to send unsolicited marketing
- Probe, scan, or test the vulnerability of the system without written authorization
5. Your content
You retain ownership of all data you put into BrioSync (projects, tickets, time logs, attachments, customer records). You grant us a limited licence to host, store, transmit, and display your content solely to provide the service to you. We do not claim ownership of your content and we do not use it to train models.
6. Plans & billing
- Free trial: 14 days on the Pro plan, no credit card required
- Paid plans: billed monthly or annually in advance, in your selected currency
- Per-seat pricing: billed per internal user with delivery access. Customer-portal users are free and unlimited.
- Plan changes: upgrade is prorated immediately. Downgrade takes effect at the next billing cycle.
- Refunds: we do not refund partial months. If you cancel, the service remains active until the end of the paid period.
- Late payment: if a paid invoice is more than 14 days overdue, we may suspend the workspace until payment is resolved.
7. Cancellation & data export
You can cancel any time from inside your workspace settings. On cancellation:
- The workspace becomes read-only / export-only for 30 days
- You can export all your data as CSV or JSON during that window
- After 30 days, the workspace and all its data are permanently deleted
- No lock-in: this is a one-way door only because you chose it
8. Availability & service levels
We aim for 99.9% uptime monthly. Enterprise plans include a written SLA with credits for breach. Starter and Pro plans are provided on a best-efforts basis. Scheduled maintenance is announced in advance via the in-product banner.
9. Security & data handling
We follow the practices described in our Privacy Policy: TLS in transit, encryption at rest, multi-tenant isolation enforced at the database level, role-based access control, and audit logging.
10. Confidentiality
Each party will keep the other's confidential information secret, using at least the same care it uses for its own confidential information. This obligation survives termination for 3 years.
11. Intellectual property
BrioSync, the BrioSync logo, the workspace UI, the documentation, and all underlying technology are our intellectual property. These terms do not grant you any rights to use our trademarks, except to truthfully describe that you use BrioSync.
12. Third-party services
BrioSync may integrate with third-party services (Google authentication, email delivery, payment processing, etc.). Your use of those services is governed by their own terms.
13. Disclaimers
BrioSync is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or perfectly secure.
14. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to these terms or the service will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, consequential, or punitive damages, or for lost profits or lost data, even if advised of the possibility.
15. Indemnity
You agree to defend, indemnify and hold us harmless from any third-party claim arising from your content, your use of the service in breach of these terms, or your violation of applicable law.
16. Termination by us
We may suspend or terminate your account for material breach of these terms (illegal activity, failure to pay, abuse of the system) after notifying you and giving you a reasonable opportunity to cure. We may terminate immediately if the breach is severe (security threat, illegal content) or if required by law.
17. Changes to the terms
We may update these terms from time to time. If a change is material, we will notify active workspace admins by email at least 30 days before it takes effect. The "Last updated" date at the top always reflects the latest version.
18. Governing law & disputes
These terms are governed by the laws of the jurisdiction stated on your invoice. Any dispute will be resolved first by good-faith negotiation; if unresolved within 60 days, by binding arbitration or in the courts named on the invoice (as required by local law).
